1. Agreement to These Terms

These Terms of Service ("Terms") govern your access to and use of the website located at seqav.com and any related pages, forms, downloads, or communications we make available through it (collectively, the "Site"). The Site is operated by The Sequoia Collective, LLC, doing business as Sequoia Advanced Systems ("SEQAV," "we," "us," or "our").

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.

We may update these Terms at any time. Changes take effect when posted, and the "Last Updated" date above will reflect the revision. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.

2. Who May Use the Site

The Site is intended for business and professional use by individuals who are at least 18 years of age and who have the authority to act on behalf of the organization they represent. The Site is not directed to children and we do not knowingly collect information from anyone under 18.

3. Nature of the Site — Informational Only

The Site is provided for general informational and business development purposes. It describes capabilities, platforms, integrations, and services that SEQAV offers or intends to offer.

Nothing on the Site constitutes:

  • an offer to sell or a binding quotation for any product, platform, sensor, payload, or service;
  • a guarantee of availability, lead time, specification, performance, or price;
  • engineering, environmental, regulatory, safety, or legal advice;
  • a representation that any described configuration is suitable for a particular site, mission, water body, or regulatory context.

All specifications, capabilities, imagery, and performance figures shown on the Site are illustrative and subject to change without notice. Actual system configuration, performance, deliverables, warranties, and pricing are governed exclusively by a separate written agreement, purchase order, quotation, statement of work, or contract executed between SEQAV and the customer. In the event of a conflict between the Site and such an executed agreement, the executed agreement controls.

4. No Professional or Regulatory Advice

Content on the Site relating to environmental monitoring, aquatic vegetation management, infrastructure inspection, bathymetric or hydrographic survey, public safety operations, permitting, compliance reporting, or agency procurement is general in nature. It is not a substitute for the judgment of a licensed professional engineer, geologist, surveyor, environmental professional, attorney, or the requirements of any permitting or contracting authority.

You are solely responsible for determining whether any product or approach described on the Site meets the legal, regulatory, licensing, insurance, and safety requirements applicable to your project, jurisdiction, and client.

5. Operation of Autonomous and Remotely Operated Systems

Any reference on the Site to autonomous surface vessels, uncrewed aerial systems, remotely operated vehicles, or related payloads is descriptive only. Operation of such systems is subject to federal, state, and local law, including but not limited to Federal Aviation Administration regulations, United States Coast Guard and state navigation rules, California Department of Fish and Wildlife and State Water Resources Control Board requirements, local waterway authority rules, and applicable permitting and licensing regimes.

SEQAV makes no representation that any system may be lawfully operated at a given location or for a given purpose. Operators are solely responsible for obtaining all required authorizations, certifications, insurance, and permissions, and for operating safely and in compliance with applicable law.

6. Export Control and Restricted Use

Certain hardware, software, sensors, and technical data referenced on the Site may be subject to United States export control laws and regulations, including the Export Administration Regulations (EAR) and, where applicable, the International Traffic in Arms Regulations (ITAR). You agree not to export, re-export, transfer, or release any product, technical data, or information obtained from SEQAV in violation of those laws.

Information available on the Site is limited to publicly releasable, general marketing-level descriptions. Requests for controlled technical data will be handled only through a separate, qualified process.

You further agree not to use any SEQAV product, service, or information for any unlawful purpose, including unlawful surveillance, trespass, harassment, or interference with navigation, critical infrastructure, or protected habitat.

7. Submissions Through the Site

The Site includes forms that allow you to contact us, request information, or submit project details ("Submissions"). By making a Submission you represent that:

  • the information you provide is accurate and that you are authorized to provide it;
  • your Submission does not include confidential, proprietary, classified, controlled unclassified, export-controlled, or personally sensitive information belonging to you or any third party;
  • your Submission does not include material that is unlawful, infringing, or malicious.

Submissions are not confidential. Do not transmit confidential or sensitive project information through the Site. If a project requires the exchange of confidential information, contact us to establish a non-disclosure agreement first.

Except for personal information, which is handled as described in our Privacy Policy, you grant SEQAV a non-exclusive, royalty-free, worldwide license to use, reproduce, and act upon your Submission for the purpose of responding to your inquiry and improving our services. Submission of information does not create a client, contractor, teaming, dealer, or agency relationship between you and SEQAV.

We aim to respond to inquiries promptly but do not guarantee a response, and receipt of a Submission does not obligate SEQAV to provide any product, proposal, quote, or service.

8. Email Communications and Newsletter

If you subscribe to our email list or check a box requesting updates, you consent to receive commercial and informational email from SEQAV, including capability updates, product announcements, technical briefs, event notices, and program news.

You may unsubscribe at any time using the link in any email or by contacting info@seqav.com. We will honor opt-out requests promptly as required by the CAN-SPAM Act. We may continue to send transactional or relationship messages, such as responses to your inquiries, contract communications, and order or support notices.

9. Acceptable Use

You agree not to:

  • use the Site for any unlawful purpose or in violation of these Terms;
  • attempt to gain unauthorized access to the Site, its servers, or any connected system;
  • probe, scan, or test the vulnerability of the Site or breach any security or authentication measure;
  • introduce malware, or interfere with or disrupt the integrity or performance of the Site;
  • scrape, harvest, crawl, or use automated means to extract data from the Site except by publicly available search engines operating under our robots file;
  • use Site content or contact information to send unsolicited commercial messages;
  • use the Site, or any content from it, to train a machine learning or artificial intelligence model without our prior written permission;
  • reverse engineer, decompile, or derive specifications from any material made available through the Site;
  • misrepresent your identity, affiliation, or authority.

10. Intellectual Property

The Site and all of its content — including text, graphics, logos, photographs, video, diagrams, layout, design, software, and the compilation and arrangement of that content — are owned by SEQAV or its licensors and are protected by United States and international intellectual property law.

"Sequoia Advanced Systems," the SEQAV logo, and related marks are trademarks or service marks of SEQAV. Third-party names, marks, platforms, and product references, including those of manufacturers and partners, are the property of their respective owners and are used for identification purposes only. Their appearance on the Site does not imply endorsement of you by those parties.

You are granted a limited, revocable, non-exclusive, non-transferable license to view and print Site content for your internal business evaluation. Any other use — including reproduction, distribution, publication, modification, or creation of derivative works — requires our prior written consent.

11. Third-Party Content and Links

The Site may link to or reference third-party websites, manufacturers, standards bodies, agencies, or resources. Those links are provided for convenience. SEQAV does not control, endorse, or assume responsibility for third-party content, products, policies, or practices. Your interaction with any third party is solely between you and that party.

12. Disclaimer of Warranties

THE SITE AND ALL CONTENT ON IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, SEQAV DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

SEQAV DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY INFORMATION ON THE SITE IS CURRENT, COMPLETE, OR ACCURATE.

This section does not limit or disclaim any warranty expressly provided in a separate executed agreement between SEQAV and a customer.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SEQAV AND ITS OFFICERS, MEMBERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS, GOODWILL, OR CONTRACT OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO USE, THE SITE — WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY, AND WHETHER OR NOT SEQAV HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

SEQAV’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED DOLLARS (US $100.00).

Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you. This section does not limit liability that cannot be limited under California law.

14. Indemnification

You agree to indemnify, defend, and hold harmless SEQAV and its officers, members, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or related to your use of the Site, your Submissions, your violation of these Terms, or your violation of any law or third-party right.

15. Governing Law and Venue

These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles. You and SEQAV agree that any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Sacramento County, California, and you consent to personal jurisdiction and venue there.

16. General

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force. Our failure to enforce any provision is not a waiver of it. These Terms, together with our Privacy Policy, constitute the entire agreement between you and SEQAV regarding the Site and supersede any prior understandings regarding the Site. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.

Privacy Policy

1. Introduction

The Sequoia Collective, LLC, doing business as Sequoia Advanced Systems ("SEQAV," "we," "us," or "our"), respects your privacy. This Privacy Policy explains what information we collect through the website at seqav.com (the "Site"), how we use and share it, and the choices and rights available to you — including rights under the California Consumer Privacy Act, as amended by the California Privacy Rights Act ("CCPA/CPRA").

This Policy applies to information collected through the Site. It does not apply to information governed by a separate contract, data-sharing agreement, or government contract clause between SEQAV and a customer or agency.

2. Information We Collect

Information you give us directly

When you complete a contact form, request information, subscribe to our newsletter, or otherwise communicate with us, we may collect:

  • name and job title
  • company or agency name
  • business email address
  • business phone number
  • business mailing address, city, or region
  • project, site, or capability details you choose to describe
  • any other content you include in your message

Information collected automatically

When you visit the Site, we and our service providers may automatically collect:

  • IP address and approximate region derived from it
  • browser type, device type, and operating system
  • referring URL and exit pages
  • pages viewed, time on page, and general navigation activity
  • date and time of access
  • cookie and similar identifiers

Information from third parties

We may receive limited business contact information from email marketing platforms, analytics providers, event organizers, industry associations, or publicly available professional sources.

We do not knowingly collect sensitive personal information as that term is defined under the CCPA/CPRA, and we ask that you not submit it through the Site. We do not collect Social Security numbers, financial account numbers, government identification numbers, precise geolocation, health information, or biometric data through the Site.

3. How We Use Information

We use the information described above to:

  • respond to inquiries, requests for information, and quote requests
  • evaluate potential projects, partnerships, teaming arrangements, and distribution relationships
  • send newsletters, capability updates, technical briefs, and event notices to subscribers
  • operate, maintain, secure, troubleshoot, and improve the Site
  • analyze Site traffic and understand which content is useful
  • comply with legal, regulatory, export control, contracting, and record-keeping obligations
  • detect, prevent, and respond to fraud, abuse, and security incidents
  • establish, exercise, or defend legal claims

4. Legal Basis and Retention

We collect and use information as necessary to pursue our legitimate business interests in operating and marketing the Site, to take steps at your request prior to entering into a business relationship, and to comply with law.

We retain information for as long as reasonably necessary for the purposes described in this Policy, and thereafter as required by applicable law, contract, or records-retention obligation. Newsletter subscriber records are retained until you unsubscribe, plus a limited period to honor your opt-out. Inquiry records are generally retained for the duration of the business relationship plus a standard retention period.

5. How We Share Information

We share personal information only as described here:

  • Service providers. Website hosting, email marketing, form processing, CRM, analytics, and security vendors that process information on our behalf under contract and are prohibited from using it for their own purposes. Our current providers include Google Analytics (website traffic analytics) and Formspree (contact-form processing).
  • Manufacturers and partners. Where you have requested product information, quotes, or support that requires it, we may share your business contact details and stated requirements with the relevant manufacturer, integration partner, or channel partner in order to respond to your request.
  • Professional advisors. Attorneys, accountants, insurers, and auditors, as needed.
  • Legal and safety. When required by law, subpoena, court order, or governmental request, or where we believe disclosure is necessary to protect rights, safety, property, or to investigate potential violations.
  • Business transfers. In connection with a merger, acquisition, financing, reorganization, or sale of assets, subject to this Policy.

We do not sell personal information, and we do not share personal information for cross-context behavioral advertising, as those terms are defined under the CCPA/CPRA. We have not sold or shared personal information in the preceding twelve months.

6. Cookies and Tracking

The Site uses cookies and similar technologies to operate the Site, remember preferences, and measure aggregate traffic. Cookie categories in use may include:

  • Strictly necessary — required for the Site to function and for security.
  • Analytics/performance — help us understand how the Site is used, in aggregate. We use Google Analytics (GA4) for this purpose; it sets analytics cookies and processes usage data as our service provider.
  • Functional — remember choices such as form state or subscription status.

You can control cookies through your browser settings. Blocking cookies may affect Site functionality.

Do Not Track. The Site does not currently respond to browser "Do Not Track" signals, as no common industry standard has been adopted. We do honor recognized opt-out preference signals such as Global Privacy Control (GPC) where technically feasible; because we do not sell or share personal information, such a signal does not change how we handle your data.

7. Email Newsletter and Marketing Choices

You will only be added to our newsletter list if you affirmatively request it — for example, by entering your email address in a subscription field or checking a box on a contact form. We do not add inquiry contacts to the newsletter list without a separate opt-in.

Every marketing email includes an unsubscribe link. You may also unsubscribe by emailing info@seqav.com with "Unsubscribe" in the subject line. We honor opt-out requests promptly in accordance with the CAN-SPAM Act. We retain a minimal suppression record of your email address solely to ensure we do not contact you again.

We may still send you non-marketing messages, such as replies to your inquiry, quote and order communications, service and support notices, and legally required notifications.

8. Your California Privacy Rights

If you are a California resident, the CCPA/CPRA gives you the following rights regarding personal information we collect:

  • Right to know the categories and specific pieces of personal information we have collected, the sources, the business purposes, and the categories of third parties to whom we disclosed it.
  • Right to delete personal information we have collected from you, subject to legal exceptions.
  • Right to correct inaccurate personal information we maintain about you.
  • Right to opt out of sale or sharing. We do not sell or share personal information, so there is nothing to opt out of; we provide this notice for completeness.
  • Right to limit use of sensitive personal information. We do not collect sensitive personal information through the Site.
  • Right to non-discrimination for exercising any of these rights. We will not deny you services, charge different prices, or provide a different level of quality because you exercised a privacy right.

How to submit a request. Email info@seqav.com or write to us at the address in Section 12. Please include enough information for us to verify your identity — typically the email address or business contact details you used with us — and describe your request with sufficient detail. We will verify your request by matching the information you provide against our records and may contact you for additional confirmation. We will respond within the timeframes required by law, generally 45 days, with an extension where permitted.

Authorized agents. You may designate an authorized agent to submit a request on your behalf. We may require proof of the agent’s authorization and direct verification from you.

Shine the Light. California Civil Code § 1798.83 permits California residents to request information about disclosure of personal information to third parties for their direct marketing purposes. We do not make such disclosures. Requests may be sent to info@seqav.com.

9. Data Security

We maintain reasonable administrative, technical, and physical safeguards designed to protect information collected through the Site, including encrypted transmission (TLS), access controls, and vendor due diligence. No method of transmission or storage is completely secure, and we cannot guarantee absolute security. Do not transmit confidential, proprietary, export-controlled, or otherwise sensitive project information through Site forms or unencrypted email.

10. Children’s Privacy

The Site is intended for business use by adults. We do not knowingly collect personal information from anyone under 18. If you believe a minor has provided us information, contact info@seqav.com and we will delete it.

11. Changes to This Policy

We may update this Privacy Policy from time to time. The "Last Updated" date above will reflect any revision. Material changes will be indicated on the Site. Your continued use of the Site after a revision is posted constitutes acceptance of the updated Policy.
